雀巢拟收购徐福记60%的股权 

 

Nestle, the world's largest food company, agreed to buy a 60 percent stake in Hsu Fu Chi International, a Chinese candy and snack maker, for $1.7 billion in a bid to boost sales in the world’s second largest economy.

 

Nestle offered $3.56 for each share to acquire a 43.5 percent stake of Singapore-listed Hsu Fu Chi from key shareholders. It will then seek to buy another 16.5 percent stake from the controlling Hsu family. The Hsu family now owns a 56.5 percent stake of Hsu Fu Chi.

 

Hsu Fu Chi's profit rose 31 percent to 602.2 million yuan ($93 million) last year as sales grew 14 percent to 4.31 billion yuan.

 

The Guangdong-based confectioner, with a market value of about $2.6 billion, generates all its revenue in China where it sells candies, chocolates and pastries.

 

 

 雀巢公司今天宣布,已经和徐福记的创始家族签署了合作协议,以17亿美元收购徐福记60%的股份。

 

雀巢公司提出,通过计划安排方案收购徐福记独立股东所持有的该公司43.5%的股权,收购价为每股4.35新元。如果这一方案被独立股东批准,雀巢公司随后将再从徐氏家族目前持有的56.5%的股权中购得16.5%的股份。雀巢将为此支付21亿新元(约合17亿美元)。

 

据徐福记最新公布的财报显示,2010年其全年的营业收入和净利润分别为43.1亿元和6.022亿元,同比分别增长14%和31%。

 

以经营糖果、饼干等零食打通大陆内销网路的徐福记,短短十年间自东莞起家,市值已达26亿美元。
